    1. Acceptance of Terms

    By accessing or using Inzata's platform, website, or services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

    2. Description of Services

    Inzata provides an AI-powered data analytics platform including data ingestion, modeling, visualization, and AI co-pilot capabilities. Services are provided on a subscription basis as described in your order form or pricing plan.

    3. Account Responsibilities

    You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use. You must be at least 18 years old to use the Services.

    4. Acceptable Use

    You agree not to:

    • Use the Services for any unlawful purpose or to violate any laws
    • Attempt to gain unauthorized access to any part of the Services
    • Interfere with or disrupt the integrity or performance of the Services
    • Reverse engineer, decompile, or disassemble any part of the platform
    • Use the Services to store or transmit malicious code
    • Resell or redistribute the Services without written consent

    5. Data Ownership

    You retain all rights to your data. By using the Services, you grant Inzata a limited license to process your data solely for the purpose of providing the Services. We will not access your data except as necessary to operate, maintain, and improve the platform.

    6. Intellectual Property

    All rights, title, and interest in the Services, including software, algorithms, designs, and documentation, are owned by Inzata Analytics, Inc. These Terms do not grant you any rights to use Inzata trademarks or branding.

    7. Payment Terms

    Fees are billed in accordance with your subscription plan. All fees are non-refundable except as required by law or as specified in your agreement. We reserve the right to modify pricing with 30 days' notice.

    8. Service Availability

    We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by circumstances beyond our reasonable control.

    9. Limitation of Liability

    To the maximum extent permitted by law, Inzata's total liability for any claims arising from these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

    10. Termination

    Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, you may export your data within 30 days.

    11. Governing Law

    These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
